Foundry Labs AI ("Foundry," "we," "our," or "us") respects your privacy and is committed to protecting the information you share with us. This Privacy Policy explains how we collect, use, disclose, and safeguard information when you visit our website, use our platform, or otherwise interact with our services.

By accessing or using our services, you agree to the practices described in this Privacy Policy.

Our Services are intended for businesses and healthcare organizations.

You agree to use Foundry only for lawful purposes and in accordance with these Terms.

Interfere with or disrupt the Services.
Upload malicious software or code.
Use the Services to infringe on the rights of others.

3. Accounts
You are responsible for maintaining the confidentiality of your account credentials.

You are responsible for all activities that occur under your account.
Notify us immediately if you believe your account has been compromised.

4. Customer Data
You retain ownership of all data that you submit to the Services.
You grant Foundry a limited license to process your data solely for the purpose of providing, maintaining, securing, and improving the Services, in accordance with applicable agreements and our Privacy Policy.

5. AI-Assisted Features
Foundry provides AI-assisted tools to support clinical documentation, workflow analysis, coaching, and operational insights.

AI-generated content is intended to assist users and should always be reviewed by qualified personnel before being relied upon for clinical, operational, billing, or business decisions.

Users remain responsible for verifying the accuracy of AI-generated outputs.

6. Healthcare Responsibilities
Foundry provides software tools and does not provide medical, dental, legal, or professional advice.
Healthcare providers remain solely responsible for patient care, clinical documentation, diagnosis, treatment decisions, regulatory compliance, and maintaining complete and accurate patient records.

7. Intellectual Property
The Services, including software, designs, trademarks, logos, documentation, and content, are owned by Foundry or its licensors and are protected by applicable intellectual property laws.
These Terms do not grant ownership of our intellectual property.

8. Confidentiality
Each party agrees to protect the other's confidential information and use it only as necessary to fulfill the purposes of these Terms.

9. Third-Party Services
The Services may integrate with third-party platforms and providers.
Foundry is not responsible for the availability, functionality, or privacy practices of third-party services.

10. Service Availability
We continually improve our platform and may modify, suspend, or discontinue features from time to time.

While we strive for reliable service, we do not guarantee uninterrupted or error-free availability.

11. Fees
Certain Services may require payment.

Applicable pricing, billing terms, and subscription details will be provided separately.

Failure to pay applicable fees may result in suspension or termination of access.

12. Termination
Either party may terminate use of the Services in accordance with any applicable subscription agreement.
We may suspend or terminate access if these Terms are violated or if required by law.

13. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDRY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDRY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER TO FOUNDRY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification
You agree to indemnify and hold harmless Foundry, its affiliates, officers, employees, and agents from claims, liabilities, damages, and expenses arising from your use of the Services or violation of these Terms.

16. Governing Law
These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law principles.
Any disputes shall be resolved in the state or federal courts located in Travis County, Texas, unless otherwise required by applicable law.

17. Changes to These Terms
We may update these Terms from time to time.
The updated version will become effective upon posting with a revised Effective Date.
